Merger and acquisition deals in the US above a minimum valuation are subject to review by the DOJ and/or FTC to ensure compliance with antitrust laws. If either the DOJ or FTC determines they need to further review a specific transaction, they issue a "Second Request" for information from the parties involved. To provide any and all relevant information to the government, the companies often must review massive volumes of internal email and documents within a very short time period, a complex and costly process that is best accomplished with the assistance of electronic discovery vendors.
